Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Qintara Health platform, including the patient portal, provider and staff applications, and related websites and services (collectively, the "Services"), operated by Qintara Corp, a Wyoming corporation ("Qintara," "we," "us," or "our"). By creating an account or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Not for medical emergencies. If you are experiencing a medical emergency, call 911 (or your local emergency number) immediately. Messages sent through the Services, including to your care team, are not monitored continuously and must never be used to report an emergency.

1. What the Services Are

Qintara provides software that independent medical clinics and wellness practices ("Clinics") use to manage scheduling, clinical records, secure messaging, and billing. Qintara provides the technology; your Clinic — not Qintara — is responsible for the clinical care, diagnoses, treatment decisions, and medical advice you receive. Clinical content in the Services (lab results, notes, treatment plans) is entered and controlled by your Clinic, and Qintara does not independently verify or generate it.

2. Accounts

You must provide accurate information when creating an account and are responsible for keeping your login credentials confidential and for activity under your account. Tell your Clinic or Qintara right away if you suspect unauthorized use. You must be at least 18 to create your own account; accounts for minors are created and managed by a parent, guardian, or the Clinic.

4. Fees & Billing

If you make payments through the Services (for example, for a Clinic's services), those charges are billed by or on behalf of your Clinic. Payment terms, refunds, and billing disputes are governed by your agreement with your Clinic, except where Qintara is the merchant of record for a specific transaction, in which case the payment confirmation will say so.

5. Intellectual Property

The Services, including their software, design, and branding, are owned by Qintara or its licensors and protected by intellectual property law. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. You retain ownership of content you submit (such as messages), subject to the license you grant us to process it in order to provide the Services.

6. Third-Party Services

The Services may integrate with third-party services, such as pharmacy networks, payment processors, and identity providers (including Google and Microsoft sign-in). Your use of those services may be subject to their own terms, and Qintara is not responsible for their practices or availability.

7. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Qintara does not warrant that the Services will be uninterrupted, error-free, or secure from every possible threat.

8. Limitation of Liability

To the maximum extent permitted by law, Qintara is not liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Qintara's total liability for any claim arising from these Terms will not exceed the greater of $100 or the amount you paid Qintara in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold Qintara harmless from claims arising out of your misuse of the Services or violation of these Terms, except to the extent caused by Qintara's own negligence or breach of these Terms.

10. Termination

Qintara or your Clinic may suspend or terminate your access to the Services at any time, with or without cause, including for violating these Terms. Sections that by their nature should survive termination (including Sections 7–9) will survive.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in Wyoming, and you consent to jurisdiction there.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Continued use of the Services after changes take effect means you accept the updated Terms.
